Agreement
By creating an account or using WhoDooUNode ("the platform"), you agree to these Terms of Service. If you do not agree, do not use the platform. These terms form a legal agreement between you and 100089160 Ontario Inc., operating as WhoDooUNode, incorporated in Ontario, Canada.
Who can use the platform
- You must be at least 18 years old.
- You must provide accurate information when creating your account.
- You may not create accounts on behalf of others without their consent.
- You may not use the platform for unlawful purposes.
Job matching and search credits
- Credits are only consumed when your search returns at least one match. Searches that return zero matches do not count against your credit balance.
- Search credits are non-refundable.
- Job listings are sourced from public sources and third-party feeds. We do not guarantee accuracy or availability of any listing.
- Match scores are AI-generated estimates — not guarantees of employment.
- Resume files are deleted within 24 hours of upload. Extracted data is retained to power your matches.
Scout referral program
Commission schedule
Scouts earn commission when a referred user completes a qualifying purchase. Commission rates at launch are:
- Candidate signs up (first $9.99 search pack purchase): $4.00 one-time.
- Candidate rebuys a $3.99 search pack: $1.00 per rebuy.
- Referred user upgrades to the $49 Community Member plan: $24.50 (50%). If they later renew their plan, you earn $24.50 again on each renewal.
- Referred client purchases any client subscription (monthly or yearly): 50% of every payment the client makes for as long as their subscription remains active. See "Client attribution" below for details on renewals, cancellations, and returns.
- Bounty payout on a confirmed hire from your candidate submission: 85% of the bounty amount. WhoDooUNode retains 15% as a platform fee. Bounties are flat, pre-set amounts chosen by the client at posting — not a percentage of the candidate's salary.
Prospective changes. Commission amounts and rates may change for future referrals with reasonable advance notice. Rate changes apply prospectively only — commissions already earned on purchases made before a rate change are paid at the original rate.
Client attribution and re-attribution
When you refer a client, you receive commission on every payment they make as long as their subscription remains active. If the client cancels, your commission continues through the last paid period.
- Grace window: if the client re-subscribes within 90 days of cancellation, your attribution resumes automatically and you continue to earn commission on their payments.
- After 90 days of inactivity, attribution expires. If the client later returns organically (no scout involvement), WhoDooUNode retains the full commission — attribution does not revert to the prior scout.
- If a different scout brings the same client back using their own referral link after the grace window has expired, attribution transfers to that scout and they earn commission on all subsequent payments. The previous scout earns nothing further on that client.
Auto-upgrade, withdrawal, payouts, and clawback
- Your first $49.00 in commissions is automatically applied to purchase your Community Member plan. The $49.00 is deducted from your balance — this is not a free upgrade, it is a self-financing path from free tier to paid plan.
- Cash withdrawals require (1) an active paid plan, (2) at least one direct referral of your own (admin-assigned organic leads do not satisfy this rule), and (3) an available balance of at least $49.00.
- Commissions are paid via Stripe Connect (bank transfer, Wise, or equivalent). Country availability is shown in your payout settings; payouts are only processed to jurisdictions Stripe Connect supports.
- Client referral commissions are held for 30 days after each payment before becoming withdrawable, to account for refund and chargeback windows.
- Clawback on refunds and chargebacks: if a client, Community Member, or candidate is refunded or reverses a payment within 30 days of a commission being credited, the corresponding commission is clawed back from your balance. Clawback is limited to the current payment cycle — commissions on earlier, undisputed payments are not affected.
- We reserve the right to withhold commissions during any fraud investigation. Commissions will be released or reversed once the investigation is complete.
- If fraud is confirmed, all commissions associated with the fraudulent activity — including amounts already paid — are subject to full clawback and recovery, retroactive without time limit.
- Referring yourself or using fake accounts to generate commissions is grounds for immediate termination and forfeiture of all earned commissions.
Referral links and job sharing
WhoDooUNode allows Scouts to share job opportunities and platform invitations using personalised referral links. By using these links, you agree to the following rules:
- Attribution is first-touch only. The first Scout whose referral link a new user follows before signing up receives commission credit. Subsequent referral links clicked by the same user have no effect on attribution.
- Referral links may be shared publicly — on your own social media, podcasts, blogs, newsletters, or other channels where you have an audience that has chosen to hear from you. What is prohibited is spam: unsolicited bulk messages, posting in forums or threads where referral content is off-topic or against the forum's rules, and purchased or scraped email lists. The test is whether your recipients would reasonably expect to hear from you.
- You may not misrepresent a referral link as an official job board link, employer posting, or any source other than your personal WhoDooUNode referral.
- You may not use bots, scripts, or automated processes to fake clicks, signups, or engagement — including click farms, account-generation bots, CAPTCHA bypass tools, or proxy-rotated fake accounts. Legitimate productivity tools (post schedulers, AI drafting assistants, email composition tools, WhoDooUNode's own scout tools) are allowed, provided the referrals originate from you and reach real people.
- Referral links may not be used to attribute existing WhoDooUNode members to your account. Attribution applies to new sign-ups only.
- You may not create secondary accounts for the purpose of generating referral commissions for your primary account.
- WhoDooUNode monitors referral activity for patterns consistent with abuse. Accounts with unusual referral volume, repeated sign-ups from the same device or IP address, or abnormally high chargeback rates may be flagged for review.
- We reserve the right to suspend commission payouts, reverse attributed commissions, and terminate accounts where referral abuse is confirmed.
Scouts Den — bounty referrals
- Scouts submitting candidates to bounties must have the candidate's explicit consent.
- Submitting false or fabricated candidate profiles is grounds for immediate termination and forfeiture of all commissions.
- Bounties are paid on confirmed hire only. WhoDooUNode is not liable if a client reverses a hire decision.
- Scouts keep 85% of the bounty. WhoDooUNode retains 15% as a platform fee.
- A bounty is a flat, pre-set amount chosen by the client at posting. Bounties are NOT a percentage of the candidate's salary or a placement fee.
Scout status — Referrer, not Recruiter
Scouts on WhoDooUNode are independent referrers who introduce candidates to job opportunities shared by clients. Scouts are not employment agents, recruiters, personnel placement agencies, temporary help agencies, or staffing firms. This distinction matters legally and operationally — the following rules enforce it.
Scouts agree:
- I make referrals only. I do not represent candidates, act as their agent, or hold myself out as their recruiter.
- I do not negotiate compensation, employment terms, start dates, or offer details on behalf of candidates. All such negotiation happens directly between the candidate and the client.
- I understand that after I make an introduction, communication between the candidate and the client proceeds directly. I am not a required intermediary.
- I do not use the title "recruiter" or "employment agent" in relation to my scout activity on WhoDooUNode. I may share that I'm a scout, or that I refer candidates to opportunities.
- My commission is a flat share of the client's pre-set bounty — not a percentage of the candidate's first-year salary or a traditional placement fee.
- I am responsible for my own jurisdiction's compliance. In some provinces, states, or countries, high-volume or active-representation referral activity may trigger local employment-agency or personnel-placement licensing rules. If my activity approaches those thresholds, I will obtain any required licence OR limit my activity accordingly.
- WhoDooUNode may restrict, suspend, or terminate scout accounts that operate outside the referrer model described above.
Licensed recruiters welcome. If you already hold a provincial/state employment-agency or personnel-placement licence and wish to operate on WhoDooUNode with the broader permissions that licence allows, contact support@whodoounode.com about our licensed-scout tier.
Not legal advice. This section describes the product model and WhoDooUNode's expectations of scouts. It is not legal advice about your jurisdiction's employment-agency rules. Scouts in doubt should consult a lawyer or their provincial/state labour authority before ramping referral activity. Payments and refunds
- All prices are in Canadian dollars (CAD) unless stated otherwise.
- Payments are processed by Stripe. By purchasing, you also agree to Stripe's terms.
- The $9.99 search pack and any $3.99 rebuys are non-refundable, whether or not the searches are used.
- Community Member membership ($49, paid upfront): refundable within 14 days of purchase, only if you have not used any of the search credits included with the membership and no commissions have been earned. A refund terminates the membership and forfeits the founder rate — re-signing up later means the price in effect at that time.
- Client subscription plans are non-refundable and renew automatically each billing period until cancelled. If you cancel, your client account retains access through the end of the current billing period; no pro-rated refund is issued for unused time. One-time role posts are non-refundable.
- Enterprise and pilot engagements (including any annual term) are governed by the individual pilot agreement, which sets out any applicable refund terms.
- If you believe a charge was made in error, contact us within 7 days at support@whodoounode.com.
- Chargebacks filed without contacting us first may result in account suspension.
High-volume activity and commission review
WhoDooUNode is designed to reward Scouts who share the platform widely. We welcome organic growth — including referrals that originate from public posts, podcasts, social media, or other large-audience channels.
To protect the integrity of the commission system and ensure accurate verification, WhoDooUNode reserves the right to temporarily queue commission processing for manual review when unusual or high-volume referral activity is detected on a single account. This is not a withholding of earned commissions — it is a verification step.
- Commissions generated during a review period are fully recorded and will be released once verification is complete.
- Review periods are typically completed within 5 business days. WhoDooUNode will notify the Scout by email when a review is initiated.
- If the activity is verified as legitimate, all held commissions are released in full.
- If fraud or abuse is identified during review, commissions may be reversed in accordance with the Referral links and job sharing section above.
- WhoDooUNode does not guarantee a specific release timeline during periods of extraordinary platform activity (e.g. viral growth events).
Scouts who believe their commissions have been incorrectly held may contact support@whodoounode.com to request an expedited review.
Founding Scout rate
Users who sign up during the founding period lock in the $49 founder rate. Your Founding Scout number and founder badge are permanent once assigned — these are honoured for life regardless of plan status.
Your $49 founder rate holds for the entire founding period, and for 3 years after the founding period ends. While the founding period is open, your membership stays at $49. When WhoDooUNode ends the founding period and membership pricing moves to a monthly model, your $49 rate is protected for a further 3 years from that date — after which your membership moves to the then-current monthly pricing. Your founder number, badge, referrals, and any previously-earned commissions are unaffected.
WhoDooUNode reserves the right to end the founding period at any time for new signups. The 3-year founder-rate protection described above runs from the date the founding period ends.
Plan cancellation, renewal, and lapse
Scout plans are one-time annual purchases, not subscriptions. They do not auto-renew. 60 days before your plan expires, you will receive email notices and an in-app banner asking you to choose how to handle renewal.
Renewal choices:
- A — Auto-deduct from your commission balance. $49 is pulled from your balance on your renewal date if available.
- B — Charge a card on file. You save a card through Stripe at renewal-decision time; we charge it off-session for $49 on your renewal date.
- C — Let the plan lapse. Your balance freezes (see below) and you can re-up any time.
User-initiated cancellation:
- With a withdrawable balance of $49.00 or more: a 30-day grace window is stamped. During that grace window you can withdraw through the normal Stripe Connect flow. After the grace window closes, the balance is frozen per the lapse rules below.
- With a balance between $20.00 and $48.99: a small-balance closeout payout is available with a $5.00 flat processing fee. Net payout is (balance − $5.00) transferred via Stripe Connect to your connected bank account.
- With a balance below $20.00: no closeout payout is available — the fee would consume too much of the balance. The balance is frozen per the lapse rules below and governed by the dormancy rules there.
- With a negative balance (post-chargeback): no payout is available until the balance returns to zero or above. No closeout.
Small-balance closeout — a one-time exit, not a cash-out. The small-balance closeout ($20.00–$48.99 tier) is meant as a legitimate exit path for a stranded balance, not a general-purpose way to withdraw. To withdraw again after a closeout, the normal $49 withdrawal gate applies (active paid plan + at least one direct referral + $49 balance). We monitor closeout activity, and we reserve the right to decline a closeout, suspend accounts, and reverse or forfeit balances where we detect the same person or payout destination using closeouts to repeatedly extract small balances across multiple accounts, per the Referral links and job sharing enforcement rules.
Lapse (Choice C or missed renewal):
- Your commission balance is frozen — not forfeited — while your plan is lapsed. You cannot withdraw it until your plan is active again, but you keep it. Re-up any time to unlock.
- Extended dormancy (12+ months with no login and no plan activity) may trigger a transfer of the balance under applicable provincial, state, or federal unclaimed-property rules in your jurisdiction of residence. If that happens, WhoDooUNode will notify you by email well before any action and will follow whatever transfer path the applicable law requires.
- You keep your founder number, badge, and direct referral history.
- You lose organic lead pool eligibility and bonus pool eligibility until you re-up.
- You can still refer new scouts/clients while lapsed, and those commissions accrue to your frozen balance subject to the dormancy rule above.
- Founding rate economics are separate: see "Founding Scout rate" above — the $49 rate is tied to continuous active-paid status.
Account suspension and termination
We may suspend or terminate your account without notice if you:
- Violate these terms
- Engage in fraud, abuse, or harassment
- Submit fake candidate profiles or generate fraudulent referrals
- Manipulate referral links or attribution systems to generate illegitimate commissions
- Distribute referral links through spam, bots, or mass automated channels
- Create secondary accounts to generate referral commissions for yourself
- Attempt to reverse-engineer or scrape the platform
Unused credits are forfeited on termination for cause. Credits may be refunded at our discretion on termination without cause.
Limitation of liability
WhoDooUNode is a job matching platform, not an employment agency. We do not guarantee job placement, interview invitations, or employment outcomes.
To the maximum extent permitted by Ontario law, 100089160 Ontario Inc. (operating as WhoDooUNode) is not liable for indirect, incidental, or consequential damages arising from your use of the platform. Our total liability to you for any claim is limited to the amount you paid us in the 90 days before the claim arose.
Governing law
These terms are governed by the laws of Ontario, Canada. Any disputes will be resolved in the courts of Ontario.
Changes to these terms
We may update these terms as the platform evolves. We will notify you by email of material changes with at least 14 days notice. Continued use after changes take effect means you accept the updated terms.
